Job Description

Our AV-rated Law Firm client is currently seeking a Corporate Transactions and Health Care Paralegal to support attorneys and clients with our nationally recognized Corporate and Health Care practice groups.  This position assists client service teams ranging from hospitals and health systems to technology-enabled service providers and life sciences companies.  Qualified candidates will have experience managing projects, preparing corporate documents, directly assisting with corporate transactions, mergers and acquisitions, communicating with state agencies, and supporting health care legal work.  They would like someone who has experience with corporate governance, foreign qualifications, entity formations (preferably professional corporations (though not LLC or S Corps)), and/or secretary of state filings.


  • Request, draft, prepare and file corporate documents across all jurisdictions.
  • Work with governmental agencies, state and local licensing organizations related to entity formations, foreign qualifications, application and licensing approvals, IRS filings.
  • Assist with transaction closings, conduct due diligence, order certified copies of documents, conduct lien searches and summaries, complete UCC filings.
  • Coordinate and maintain task and deliverable requirements for transactions, draft closing agendas, organize closing duties, signatures and closing documents, and post-closing matters.
  • Support attorneys with project management throughout the stages of transactions, manage checklists, provide communications and status tracking to help ensure timely deadlines, and provide prompt responses to client and attorney requests.
  • Administer and manage transaction documents, client data rooms, stock ledgers, electronic corporate records, minute books, compliance and annual reports, and forms.
  • Provide necessary legal research and prepare summary analyses for attorney review.


  • Bachelor’s Degree or a paralegal certificate required (equivalent work experience may be considered in lieu of degree) 
  • A minimum of three (3) years of relevant experience in a law firm or professional services environment required
  • Working knowledge with corporate transactions, state and government agencies, entity management and corporate maintenance
  • Excellent interpersonal skills with ability to communicate clearly and effectively in oral and written format  
  • Proficient research, analytical, and critical thinking skills with a high degree of accuracy and attention to detail 
  • Excellent organizational skills with time management, ability to meet deadlines, and able to work effectively under pressure on time-sensitive projects
  • Advanced user of MS Excel, Word, and PDF software, and able to quickly learn new software applications

The expected salary range for this position is between $67,500 - $81,000.  Excellent benefits.  Occasionally the position can be work-from-home.
