Job Description


The firm is seeking an associate for the Business Transactions practice group in the Tampa office.  The preferred candidate will have 3-5 years of direct transactional experience in commercial real estate, corporate and business, and finance (both in commercial real estate and in private equity and debt offerings). Our business practice group consists of diverse practices representing public and private companies in commercial real estate transactions, development and homebuilding, and private companies in a wide range of corporate matters. Our real estate work includes the preparation of purchase and sale agreements, real estate development agreements (i.e. development and construction agreements), and escrow and title-related documentation. We also regularly review and address title and survey-related matters. Our corporate work involves working with private companies to raise capital and participate in strategic transactions, including stock and membership interest sales, asset sales and reorganization transactions. Ideal candidates will also have a solid background in entity formation and drafting company governance documentation. Leasing experience, land use experience (limited) and experience preparing operating agreements for real estate ventures are also pluses. This position provides opportunities for direct client contact and to lead certain deals from start to finish. Must be a responsive team player with strong research, writing and problem-solving skills with excellent academic credentials (top 25% required).
